STANDARD TRADING TERMS AND CONDITIONS
1. Qoill Steel & Rigging Terms and Conditions of Trade ABN 61 930 842 417
2. Definitions
2.1. Company means Qoill Steel & Rigging, operated by QOILL Private Discretionary Services Management Trust (ABN 61 930 842 417).
2.2. Customer means the person, company or entity engaging the Company.
2.3. Works means all steel erection, rigging, labour hire, supervision, crane coordination or associated services supplied.
2.4. Site means the location at which the Works are carried out.
2.5. Contract means any quotation, purchase order, work order, credit application or written agreement incorporating these Terms.
3. Acceptance
3.1. These Terms apply to all Works unless otherwise agreed in writing.
3.2. Acceptance occurs upon the earlier of:
3.2.1. written acceptance of a quotation;
3.2.2. issue of a purchase order;
3.2.3. payment of a deposit; or
3.2.4. commencement of Works.
3.3. Any terms provided by the Customer inconsistent with these Terms are expressly rejected unless agreed in writing.
4. Quotations
4.1. Quotations are valid for 14 days unless otherwise stated.
4.2. Quotes are based on information provided by the Customer and reasonable site assumptions.
4.3. The Company reserves the right to vary pricing where:
4.3.1. site conditions differ from those represented;
4.3.2. access is restricted or delayed;
4.3.3. engineering or scope changes occur;
4.3.4. latent conditions are discovered;
4.3.5. additional safety controls are required.
5. Scope of Works
5.1. Works are limited strictly to the scope described in the quotation.
5.2. The following are excluded unless specifically included:
5.2.1. engineering certification
5.2.2. crane hire (unless stated)
5.2.3. traffic control
5.2.4. permits or authority fees
5.2.5. temporary works design
5.2.6. builder’s works
5.2.7. site establishment
5.3. Variations must be agreed in writing. If urgent direction is given onsite, it will be treated as a chargeable variation.
6. Customer Obligations
6.1. The Customer must:
6.1.1. Provide safe and lawful access to Site
6.1.2. Ensure the Site complies with WHS legislation
6.1.3. Provide accurate structural drawings and engineering
6.1.4. Ensure crane pads and ground conditions are suitable
6.1.5. Coordinate other trades to prevent delays
6.1.6. Hold appropriate principal contractor insurance where applicable
6.2. If Site conditions are unsafe, the Company may suspend Works.
7. Price & Payment
7.1. Payment terms: 7 days from invoice date unless otherwise agreed.
7.2. The Company may issue progress claims.
7.3. Overdue accounts attract interest at 10% per annum calculated daily.
7.4. Qoill may refer any outstanding debt to EC Credit Control without notice. Upon referral, the debt will be subject to EC Credit Control’s Terms & Conditions, including additional fees and charges, which are payable by the Client.
7.5. The Customer is liable for debt recovery costs.
7.6. The Company may suspend Works for non-payment.
8. Security of Payment
8.1. Nothing in these Terms limits the Company’s rights under the Building Industry Fairness (Security of Payment) Act 2017 (Qld).
8.2. Payment claims may be issued in accordance with the Act.
9. Risk and Insurance
9.1. Risk in the Works passes to the Customer upon completion of installation or delivery to Site.
9.2. The Customer must maintain contract works insurance where applicable.
9.3. The Company maintains Public Liability insurance appropriate to its operations.
9.4. The Company is not liable for damage caused by other trades, site conditions, or post-installation interference.
10. Latent Conditions
10.1. If unforeseen physical conditions are encountered, the Company is entitled to:
10.1.1. suspend Works;
10.1.2. claim additional costs;
10.1.3. seek extension of time.
11. Delays
11.1. The Company is not liable for delays caused by:
11.1.1. Weather
11.1.2. Crane unavailability
11.1.3. Other contractors
11.1.4. Supply chain delays
11.1.5. Industrial action
11.1.6. Site access restrictions
11.2. Reasonable extensions of time will apply.
12. Limitation of Liability
To the maximum extent permitted by law:
12.1. Liability is limited to the value of the Contract.
12.2. The Company is not liable for indirect, consequential or economic loss.
12.3. The Customer indemnifies the Company against claims arising from:
12.3.1. Unsafe Site conditions;
12.3.2. Defective designs or engineering provided by others;
12.3.3. Principal contractor directions.
13. Defects Liability
13.1. The Company warrants that Works will be carried out with due care and skill.
13.1.1. Defect claims must be made in writing within 7 days of discovery.
13.1.2. The Company’s obligation is limited to rectification of defective workmanship.
14. Retention of Title (if supplying materials)
14.1. Title in supplied materials does not pass until payment is received in full.
14.2. The Company may enter Site to recover unpaid materials where lawful.
15. Suspension & Termination
15.1. The Company may suspend Works where:
15.1.1. Payments are overdue;
15.1.2. Site conditions are unsafe;
15.1.3.substantial variation occurs without agreement.
15.2. The Customer is liable for costs incurred up to suspension.
16. Force Majeure
16.1. The Company is not liable for failure or delay caused by events beyond reasonable control.
17. Dispute Resolution
17.1. Parties agree to attempt resolution via negotiation before litigation.
17.2. This clause does not limit statutory rights under Security of Payment legislation.
18. Governing Law
These Terms are governed by the laws of Queensland, Australia.
